By accessing our Website, purchasing our Services, or otherwise engaging with House of Inkspire, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Website or Services.

2. Eligibility

By using our Website or Services, you confirm that you are at least 18 years of age (or the age of majority in your province or territory) and have the legal capacity to enter into these Terms. If you are engaging our Services on behalf of a business or organization, you confirm that you have the authority to bind that entity to these Terms.

3. Our Services

House of Inkspire provides marketing services which may include, but are not limited to:

• Branding and identity development
• Website design and development
• Social media marketing and management
• Search engine optimization (SEO)
• Related digital marketing products or packages (e.g., templates, guides, or digital deliverables), where offered

Specific scope, deliverables, timelines, and fees for a given engagement will be confirmed with each client individually, whether through a proposal, invoice, service agreement, or order confirmation ("Service Agreement"). Where there is a conflict between a signed Service Agreement and these Terms, the Service Agreement will govern for that engagement.

We reserve the right to update, modify, or discontinue any part of our Services, pricing, policies, or product offerings at any time, without prior notice, except with respect to Services already confirmed and paid for under an active Service Agreement.

4. Quotes, Pricing & Payment

• Pricing for our Services will be provided to clients via quote, proposal, or invoice prior to commencement of work, and is subject to change until agreed upon in writing (including by email).
• All purchases and services are subject to availability and successful payment processing. Where applicable, orders or engagements are not confirmed until payment has been successfully processed.
• Payments are processed securely through third-party payment processors (see our Privacy Policy for details). House of Inkspire does not store or have access to full payment card details.
• Depending on the engagement, we may require a deposit, milestone payments, or payment in full prior to commencing or delivering work. These terms will be specified in your invoice or Service Agreement.
• Late or failed payments may result in the pause or cancellation of ongoing work, at our discretion.
• Prices may be listed and invoiced in Canadian Dollars (CAD) or United States Dollars (USD), depending on the client's location and the terms confirmed in their quote, invoice, or Service Agreement. The applicable currency will always be clearly stated before work begins. Where currency conversion applies (e.g., international payments), any related conversion fees or exchange rate differences are the client's responsibility unless otherwise agreed in writing.
• All prices are subject to applicable taxes (e.g., HST for Canadian clients) unless otherwise indicated.

5. Cancellations & Refunds

• Cancellation, rescheduling, and refund terms for a specific engagement will be set out in the applicable Service Agreement, proposal, or invoice.
• Where deposits or upfront payments have been made for custom marketing services (e.g., branding, web design), such payments are generally non-refundable once work has commenced, as they compensate for time, research, and resources already committed, unless otherwise agreed in writing.
• If we are unable to deliver a Service for reasons within our control, we will work with the client to provide a suitable remedy, which may include a partial refund, credit, or revised timeline, at our discretion.

Payment Disputes & Chargebacks: Nothing in these Terms limits a client's right to dispute a charge with their bank or card issuer. However, if you have a concern about a Service, we ask that you contact us first at support@houseofinkspire.com so we can try to resolve it directly, which is typically faster than a bank dispute. Where Services have been delivered and accepted by the client (as documented through project correspondence, approvals, or the applicable Service Agreement), House of Inkspire will provide payment processors and card issuers with documentation confirming that the Services were delivered as agreed.

6. Client Responsibilities

To help us deliver our Services effectively, clients agree to:

• Provide accurate, complete, and timely information, content, and materials needed to complete the engagement
• Respond to requests for feedback, approvals, or revisions within a reasonable time
• Ensure they have the necessary rights or permissions for any content, images, trademarks, or materials they provide to us for use in their marketing materials
• Make payments in accordance with the agreed terms

Delays caused by a client's failure to provide necessary materials, feedback, or approvals may affect project timelines and are not the responsibility of House of Inkspire.

7. Intellectual Property

• Client Materials: Any content, logos, text, images, or materials provided by the client remain the property of the client. The client represents that they have the right to use and share such materials with us for the purpose of the engagement.
• Deliverables: Unless otherwise agreed in writing (e.g., in a Service Agreement), final deliverables (such as completed branding assets, websites, or marketing materials) become the property of the client upon full payment for the applicable engagement.
• Our Materials: Any proprietary tools, templates, processes, or pre-existing materials used by House of Inkspire to deliver Services remain the intellectual property of House of Inkspire, and are not transferred to the client unless explicitly agreed.
• Portfolio Use: Unless a client requests otherwise in writing, House of Inkspire may showcase completed work (e.g., branding, websites, marketing campaigns) in our portfolio, website, or promotional materials.

8. Third-Party Services

Our Website and Services may rely on or link to third-party tools and platforms, including but not limited to website hosting (GoDaddy), spam protection (Google reCAPTCHA), payment processors, and social media platforms. We are not responsible for the content, policies, availability, or practices of third-party services, and your use of such third-party services may be subject to their own terms and privacy policies.

9. Disclaimers

• Our Services are provided on an "as is" and "as available" basis. While we strive to provide high-quality marketing services, we do not guarantee specific business outcomes, such as sales figures, follower counts, search rankings, or revenue growth, as these depend on factors outside our control.
• We do not guarantee that our Website will be uninterrupted, error-free, or secure at all times.
• Any results, examples, or testimonials shared on our Website are illustrative and not a guarantee of similar results for every client.

10. Limitation of Liability

To the fullest extent permitted by applicable law, House of Inkspire and its owners, employees, or contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of our Website or Services, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from our Services shall not exceed the total amount paid by the client to House of Inkspire for the specific Service giving rise to the claim.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable Canadian or Ontario law.

11. Indemnification

You agree to indemnify and hold harmless House of Inkspire, its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our Website or Services, your violation of these Terms, or your infringement of any third-party rights (including intellectual property rights related to materials you provide to us).

12. Termination

We reserve the right to suspend or terminate access to our Website or Services, at our discretion, for any client or user who violates these Terms, engages in fraudulent activity, or fails to make required payments. Termination of an engagement does not relieve either party of obligations incurred prior to termination, including outstanding payments owed.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles. Any disputes arising from these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of Ontario.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, business practices, or legal requirements. The updated version will be posted on this page with a revised "Last Updated" date. Continued use of our Website or Services after changes are posted constitutes acceptance of the updated Terms.
